NightworX — The Operating System of the Nightlife Industry

1. Acceptance

By accessing or using NightworX ("the Platform"), you agree to these Terms of Service. If you do not agree, do not use the Platform. These terms constitute a legally binding agreement between you and NightworX.

2. Service Description

NightworX provides a SaaS platform for the nightlife industry, including event management, ticketing, CRM, professional networking, and AI-powered analytics. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate information during registration and keep it up to date. You are responsible for all activity that occurs under your account. Notify us immediately of any unauthorized access.

4. Ticketing & Payments

Payments are processed through Stripe Connect. Venue operators receive ticket payments directly into their Stripe account, minus the NightworX platform fee. Refund policies are set by the event organizer and must comply with the EU Consumer Rights Directive (2011/83/EU). NightworX acts as a technology provider, not a ticket seller.

5. Data & Privacy

Your use of the Platform is also governed by our Privacy Policy. We process data in accordance with GDPR. For venue operators: you are a joint controller for customer data collected through your events. You must have a valid legal basis to process attendee data and must comply with all applicable data protection laws.

6. AI Features

NightworX offers AI-powered features on paid plans. AI outputs are provided as recommendations and should not be treated as professional advice. In compliance with the EU AI Act, all AI-generated content is clearly disclosed. AI features use aggregated data and do not process individual personal data beyond what is strictly necessary.

7. Intellectual Property

The NightworX platform, including its design, code, and documentation, is owned by NightworX. You retain ownership of all content you upload to the platform. By uploading content, you grant NightworX a non-exclusive license to display it within the platform for service delivery purposes.

8. Limitation of Liability

NightworX provides the platform "as is" and makes no warranties regarding availability or fitness for a particular purpose. Our liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Governing Law

These terms are governed by the laws of the European Union and the member state where NightworX is registered. Any disputes shall be resolved in the competent courts of that jurisdiction.
